Vertex Workforce may connect organizations with individual professionals, groups of professionals, project teams, companies, contractors, consultants, or other service providers for on-site, remote, or hybrid engagements.

Professionals may include individuals working across Information Technology, Management, Business, Consulting, Engineering, Finance, Marketing, Human Resources, Project Management, Professional Services, and other specialist disciplines.

Unless expressly agreed otherwise in writing, Vertex Workforce acts as a workforce facilitator or service provider and does not guarantee employment, engagement, placement, project award, business opportunity, or continued employment.

 

2. Eligibility

You may use the Services only if you are legally capable of entering into binding agreements under applicable law.

The Services are primarily intended for businesses and adult professionals. Users under the applicable age of legal majority must not create professional profiles or enter workforce engagements unless expressly permitted by Vertex Workforce and applicable law, including any required parental, guardian, employer, or other authorization.

When acting on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

 

3. User Accounts

Certain Services may require registration.

Users are responsible for providing accurate, complete, and current information and for maintaining the confidentiality of their account credentials.

You are responsible for activities performed through your account unless such activity results from a security failure attributable to Vertex Workforce.

You must notify Vertex Workforce promptly if you believe your account has been compromised or accessed without authorization.

Vertex Workforce may suspend, restrict, or terminate accounts where reasonably necessary for security, fraud prevention, legal compliance, breach of these Terms, or protection of users.

 

4. Professional Profiles

Professionals may submit information including resumes, CVs, skills, qualifications, certifications, employment history, professional experience, availability, expected engagement terms, geographic preferences, work authorization information, and preferred working arrangements.

By submitting information, you represent that the information is accurate to the best of your knowledge and that you are authorized to provide it.

Providing misleading credentials, false employment history, fabricated qualifications, impersonated identities, or materially inaccurate professional information may result in removal from the platform.

 

5. Screening and Verification

Vertex Workforce may conduct preliminary screening, evaluation, credential review, interviews, reference verification, identity checks, skills assessments, or other reasonable evaluation activities.

A professional being described as “screened”, “evaluated”, “verified”, “recommended”, or similar does not constitute an absolute guarantee regarding that person’s identity, qualifications, performance, conduct, reliability, suitability, legal work status, or future performance.

Customers should perform any additional interviews, background checks, security clearance procedures, technical assessments, reference checks, legal checks, or compliance procedures appropriate to their organization and jurisdiction.

 

6. Customer Resource Requirements

Customers requesting resources agree to provide accurate information concerning roles, skills, responsibilities, location, working arrangements, expected duration, seniority, project requirements, and other information reasonably necessary for Vertex Workforce to identify suitable resources.

Customers must not submit requirements that violate applicable employment, anti-discrimination, immigration, sanctions, labor, human-rights, or other applicable laws.

 

7. Resource Matching

Vertex Workforce may identify and recommend professionals using information supplied by customers and professionals, internal assessment processes, search technologies, professional databases, algorithms, or other appropriate methods.

Recommendations constitute potential matches and not guarantees that any professional will meet all customer requirements.

Customers retain responsibility for final selection unless expressly agreed otherwise.

 

8. Candidate and Professional Data Sharing

To provide workforce matching services, Vertex Workforce may need to disclose relevant professional information to prospective customers.

Where required by applicable law, Vertex Workforce will obtain an appropriate lawful basis or specific consent before making such disclosures.

Professional information shared may include name, professional summary, experience, skills, education, certifications, CV/resume, portfolio information, location, availability, preferred engagement model, compensation or commercial expectations, interview information, and other information relevant to an opportunity.

Where consent is the applicable legal basis, professionals may withdraw that consent for future sharing, subject to applicable legal or contractual limitations. Withdrawal does not normally invalidate processing lawfully conducted before withdrawal.

Vertex Workforce will not rely on a general acceptance of these Terms as a substitute for explicit consent where applicable law requires separate consent. GDPR guidance specifically requires consent to involve a clear affirmative action and not silence, inactivity, or pre-ticked boxes. ICO

 

9. Customer Information Sharing

Customers authorize Vertex Workforce to communicate appropriate information concerning a vacancy, assignment, organization, project, work location, responsibilities, engagement model, and related requirements to potentially suitable professionals where reasonably necessary to provide the Services.

Customers must identify information that is confidential before submission where disclosure to candidates is restricted.

Vertex Workforce will use reasonable measures to limit disclosure to information relevant to the workforce engagement.

 

10. Confidential Information

Users may receive confidential information belonging to Vertex Workforce or another party.

Confidential information must not be used or disclosed except for the purpose for which it was provided or as otherwise legally authorized.

Customers must handle candidate information confidentially and use it only for legitimate recruitment, workforce evaluation, engagement, onboarding, compliance, and related business purposes.

Professional information received through Vertex Workforce must not be collected into independent databases, commercially redistributed, sold, published, or used for unrelated marketing without authorization.

 

11. Engagement Arrangements

An engagement may involve an individual professional, contractor, consultant, group, team, company, or other resource arrangement.

Detailed commercial terms, including compensation, rates, invoicing, payment terms, duration, deliverables, replacement terms, notice periods, responsibilities, intellectual property, confidentiality, taxation, employment classification, and related matters—may be governed by a separate written agreement.

If a separate signed agreement conflicts with these Website Terms concerning a particular engagement, the specific signed agreement will control for that engagement.

 

12. Employment and Contractor Status

Nothing on the Website automatically establishes an employer-employee, agency, partnership, joint venture, fiduciary, or similar relationship between users and Vertex Workforce.

Neither listing a role nor recommending a professional guarantees eligibility to work in a particular country.

Customers and professionals remain responsible for confirming work authorization, visas, immigration status, permits, professional licensing, and similar requirements where applicable.

 

14. Fees and Payments

Certain Vertex Workforce Services may be subject to recruitment fees, placement fees, subscription fees, resource charges, commissions, consulting charges, or other commercial terms.

Applicable charges will be communicated separately or governed by a commercial agreement.

Unless expressly stated otherwise, Website registration or profile creation does not create an obligation on Vertex Workforce to secure work for a professional.

 

15. Acceptable Use

Users must not misuse the Website or Services, attempt unauthorized access, introduce malicious code, scrape protected information, impersonate another person, submit unlawful material, interfere with system operation, circumvent security controls, commit fraud, misuse candidate information, or use the Services for unlawful discrimination or other illegal purposes.

Vertex Workforce may investigate suspected misuse and cooperate with lawful governmental, regulatory, or judicial requests.

 

16. Intellectual Property

The Website and its original content, branding, text, graphics, software, databases, workflows, interface design, trademarks, logos, and other materials are owned by or licensed to Vertex Workforce and protected by applicable intellectual-property laws.

a customer will select a recommended professional;

a professional will accept an opportunity;

an engagement will continue for any minimum period;

a particular commercial result will be achieved; or

a recommended resource will perform to a particular outcome.

 

21. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an “as available” basis.

Vertex Workforce disclaims warranties that cannot reasonably be given regarding uninterrupted operation, guaranteed placements, guaranteed candidate performance, third-party conduct, or the complete accuracy of information supplied by users.

Nothing in these Terms excludes warranties or consumer rights that legally cannot be excluded.

 

22. Limitation of Liability

To the maximum extent legally permitted, Vertex Workforce will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from use of the Website or Services, loss of business opportunity, candidate conduct, customer decisions, lost profits, or third-party activity.

Any limitation of liability will remain subject to rights that cannot legally be excluded or restricted.

23. Indemnification
